From Start-up to Succession

As small business owners ourselves, we know first hand how complex and time consuming starting and managing your own business can be. We are here to partner with you from the initial start-up process through the day to day management of your business, all the way to selling the business or crafting your succession plan to hand your family business off to the next generation.

Choose an Entity Type

The first step of starting your business is choosing the proper entity type, or business structure, for your business. We advise our business clients on business formation and what kind of entity to choose in order to meet their current needs and long-term goals. The types of business structures include:

    -   Limited Liability Corporations (LLC)

    -   Professional Limited Liability Corporations (PLLC)

    -   Professional Corporations (PC)

    -   Corporations

    -   Subchapter S (Small Business) Corporations  (S-Corp)

    -   Partnerships

    -   Limited Liability Partnerships (LLP)

    -   Sole Proprietorships

These different structures come with different tax considerations, operational requirements, and liability implications. We can help you determine what makes the most sense for your business, and then help you complete and file the various required filings with the state to officially form the entity.

Operational Documents

Regardless of the entity type, every business owner should have the basic operational documents drafted for their business. These documents provide rules for the governance of the internal operations of the business and memorialize agreements between partners, owners, shareholders, and members to establish rights and responsibilities. Examples of these documents include:

      -   Corporate By-Laws

      -   Operating Agreements

      -   Partnership Agreements

      -   Shareholder Agreements

      -   Non-disclosure/Confidentiality Agreements

We will provide you with sound advice and the appropriate documents to establish the rules and regulations you desire for your business.

Hiring Employees and Growing Your Business

Bringing in new workers and growing your business is both exciting and complicated. You will need to comply with all applicable state and federal employment and tax laws and regulations, as well as ensure that you're classifying the worker correctly and understand your potential liability. We will guide you through the process and draft the appropriate agreements you will need for short-term independent contractors or full-time employees.  When it comes time for your business to buy or lease property to operate out of, we can assist with any negotiations, purchases, or lease issues. We can also review and draft any contracts or agreements related to the operation of your business.
